Job Title: Board Secretary
A respected financial institution in the Ahafo Region is seeking suitable individuals for the role of Board Secretary.
Job Purpose
As required by law, the chosen candidate will be responsible for providing secretarial services to the financial institution.
Principal Responsibilities
- The successful candidate will be expected to fulfill the following duties.
- Assist the board of directors in adhering to the company’s constitution and any applicable legislation.
- Maintain the company’s books and records.
- Ensure that the minutes of shareholder and director meetings are correctly recorded in the form required by law.
- Create and distribute notices in the company’s name.
- Ensure that the company’s yearly financial statements are sent to everyone who is entitled to them, as required by law.
- Make certain that all statutory paperwork and returns are filed with the Registrar of Companies on time.
- Keep the company’s statutory registers up to date.
- Provide counsel to the Board of Directors regarding the board’s roles, responsibilities, and powers, as well as changes and developments in legislation influencing the operation of businesses.
- Inform the Board of any legislation that is relevant to or affects shareholder and director meetings.
- Advise the Directors on their responsibilities as directors and any other functions that the company secretary may be expected to do.
Qualifications and Experience Required
The applicant must possess any of the following qualifications and experience.
- A professional or tertiary level qualification that enables that person to have the necessary knowledge and experience to perform the tasks of a board secretary or secretary.
- Has served as a company/board secretary trainee before appointment, or has been trained for at least three years under the supervision of a qualified company secretary
- Must be a current member of the Institute of Chartered Secretaries and Administrators (ICSA), the Institute of Chartered Accountants of Ghana (ICAG), or both.
- Appears to the directors to be competent in executing the tasks of company secretary or treasurer due to an academic qualification or membership in a professional group.
- Must have been admitted to practice as a Barrister or Solicitor in Ghana and be in good standing.
- Previous experience working in a similar role at a financial institution will be advantageous.
