POSITION: Legal Manager

Making knowledgeable and informed decisions is essential in today’s competitive business environment. As a legal counsel in the Core Business Services (CBS) service line, you will collaborate with your general counsel colleagues to achieve this goal. You will use your legal knowledge and expertise to assist EY colleagues across all industries, while also monitoring regulatory changes and delivering legal views on their businesses.

The Opportunity

EY is looking for an experienced generalist lawyer with good experience to join our general counsel team. The job will assist the General Counsel in servicing Africa.

Your Key Responsibilities

General Counsel Office (GCO)

The Legal Manager will support the GCO with the following tasks across all service lines in the EY Africa Region:

  • General – Drafting and negotiating agreements for all service lines, including global framework agreements, local implementation agreements, service level agreements, and so on.
  • Capability to advise engagement teams on all active commercial contracts.
  • Reviewing and contributing to the development of corporate policies, including the authority and delegation structure.
  • Acquisitions – current legal work on local acquisitions, including collaboration with external counsel on deal structuring and acquisition agreements, as well as cross-border acquisition coordination with other Legal team members.
  • Litigation – Coordination of litigation proceedings in close collaboration with the Africa
  • Regional General Counsel and the appropriate Quality Service Line Leader.
  • Providing advice to business units on prospective claims, as well as participating in special ad hoc panels to manage claim risk.
  • Providing feedback and reporting to the legal risk committee.
  • Reviewing numerous agreements, including the following types of agreements:
  • Non-disclosure agreements.
  • Global Framework Agreements
  • Responses to requests for proposals or bids
  • Subcontractor agreements, etc.
  • Consider the legal hazards in the agreements, including Limitation of Liability.
  • Internal legal opinions are provided, as well as responses to subpoenas and accusations filed against the firm.
  • Manage the Master Template Database for contracts and other legal precedents.
  • Assist in maintaining a record of legal work completed.
  • Assistance with projects done by the GCO.
  • Assist with the notification of claims and circumstance projects.
  • Liaison with external legal practitioners, both locally and globally, where required.
  • Attending to data privacy concerns.
  • Addressing anti-money laundering challenges.
  • Assistance with specific areas of compliance concerns.
  • Provide legal help to the Africa EY practices on a variety of legal concerns.

Educational & Academic Qualifications:

Requirements for practicing law in Ghana include a bachelor’s degree and legal qualifications.

To qualify for the position, you must have the following:

  • At least 5–8 years of post-qualification legal experience, preferably with an international law firm or multinational organization, with a significant amount of that experience based in Ghana.
  • Comprehensive corporate and commercial experience.
  • Experience with auditing firms, compliance, and company secretarial matters will be advantageous.
  • Ideal, in-depth knowledge of the professional services industry and commercial acumen.
  • Strong commercial drafting, reviewing, and negotiating skills, with an outcome-oriented approach.
  • Exposure to the entire African continent would be useful.
  • Excellent administrative abilities, including expertise in the usage of Microsoft Office programs.
  • Excellent interpersonal skills; forceful, proactive, dynamic, and a strong team member.
  • Willingness to work extra hours as needed, as well as adaptability and agility.
  • Excellent organizational and project management skills.
  • Decision-making skills and the ability to operate with little or no supervision.
