Job Summary

To identify and manage legal risks for the Ghana business. You will be the business team’s primary point of contact daily, providing proactive legal advice, assistance, litigation, and risk management. This role entails providing dedicated legal support and implementing a working model to maximize synergies across teams and business sectors, ensuring that they collaborate in the most effective way possible.

Job Description

Accountability: Managing Legal Risk

  • To explore the potential for developing new processes that will increase the legal risk control framework.
  • Effective legal risk management involves continuously improving controls and process efficiency.
  • Manage, appraise, and prioritize projects based on company needs.
  • To convey and distill legal concepts primarily to Corporate and Investment Banking and Business Banking (CIB & BB) and other key stakeholders, while ensuring that lessons learned are shared both inside and outside the Ghana Legal function.
  • Ensure effective and suitable verbal and written communication of legal policies to Ghanaian businesses.
  • Proactive monitoring of compliance with the legal risk control framework.
  • Any infraction of the legal risk control framework should be reported immediately to the department head.
  • Immediately and accurately document legal hazards on the legal risk reporting forms and submit them to the department head.
  • Act on the legal hazards identified in the legal risk assessments by discussing them with Ghana business stakeholders and addressing them as needed to adequately remediate and reduce future risks.
  • Keep up with industry-specific knowledge and major developments.
  • Have an understanding of new regulatory requirements and can provide feedback on draft laws, regulatory papers, and regulations published by any governmental agency or regulatory organization.
  • Ensure that changes and developments in legislation and case law that affect the banking industry and Absa Bank Ghana LTD’s operations are examined, reviewed, and reported.

Accountability includes legal advice, views, and litigation.

  • Ensure that materials are technically correct by including the most recent legal precedents. This is accomplished by conducting regular studies on legal developments and attending training sessions.
  • To provide succinct, accurate, and timely legal advice to CIB and BB business stakeholders on a wide range of legal issues affecting CIB products and services.
  • To provide legal solutions to Ghana’s commercial difficulties.
  • Understand the financial and banking environments to guarantee that financial and business requirements are accurately incorporated into the documentation.
  • Ensure that all risks are adequately addressed in the bank’s agreements by understanding the business requirements, legal concerns, and potential business risks, and putting clauses in the agreements to address them.
  • Always ensure that sufficient legal knowledge has been gained and that the most recent legal changes are accurately reflected in the agreements drafted.
  • Check the term sheet against the relevant legal agreement to ensure that all terms and conditions in approved term sheets or templates are incorporated.
  • Representing Absa Ghana in court and assisting in the administration of the company’s litigation portfolio.

Accountability: Negotiate, negotiate, and review agreements.

  • Draft, vet, and negotiate primarily CIB & BB transaction contracts, product terms and conditions, confidentiality agreements, and other ad hoc legal agreements for CIB & BB and the business in general.
  • Help build working frameworks and best practice guides for use in business, including responding to and/or assisting Ghana in managing risk connected with CIB and BB.
  • Address any potential risks by ensuring that they are adequately addressed in legally formed agreements.
  • Consider, remark, negotiate, and provide recommendations on business contracts and agreements.
  • Provide legal advice on pending transactions or deals, as well as completed ones.
  • Perform legal due diligence on transactions.
  • Provide legal opinion on the validity, lawfulness, and enforceability of agreements and documents.
  • To be in charge of drafting and frequently reviewing mostly CIB & BB Standard Terms or template paperwork, with a focus on addressing legal risk trends and opportunities to prevent recurrence and improve company performance and recovery.

Accountability: Stakeholder Management.

  • To develop connections with key senior stakeholders in the legal and business areas of CIB and BB, as well as enabling functions, and to become a trusted advisor.
  • Provide outstanding customer service and high-quality service delivery by focusing on:

    • Control is balanced against commercialism.
  • To serve as the business team’s primary point of contact for any legal problems.
  • Meet with internal clients (relevant business unit or individual inside business unit to whom legal services are offered, not limited to CIB and BB) on matters under consideration and ensure that he/she knows the internal client’s needs and business.
  • Explain legal principles, provisions in agreements, and hazards to internal clients (primarily CIB and BB).
  • Provide internal clients with beneficial and instructive training (induction and refresher trainings) in the form of presentations, such as training on new laws or recent legal precedents.
  • Manage external counsel as directed on certain projects. Represent CIB Legal in relevant industry forums and professional groups as needed. Attend external meetings with internal stakeholders, such as those with the bank’s suppliers or their attorneys.

Accountability and Legal Leadership

  • Actively boost the profile of the Legal function and improve the Legal Key. Risk management and awareness are achieved by integrating legal rules and control needs into all aspects of the business.
  • Provide high-quality support to the business as needed through interactions with various legal and commercial parties.
  • Participate in Legal’s objectives and workstreams to become an active and accountable member of the team.
  • Ensure that values-aligned behaviour is displayed in all forms of communication.
  • Become a values ambassador for the Legal function.

Education And Technical Experience Required

  • B degree in law (LLB, B Juris, or B Proc) and admission to the Ghana High Court as an attorney or advocate.
  • Suitable post-admission experience, ideally 5 years or more as in-house legal counsel in a financial institution, other corporate entity, renowned law firm, or at the Bar.
  • Expertise in multijurisdictional transactions, benefit, and preferred property law, and commercial property financing
  • Strong understanding of Banking and Finance law and the regulatory environment.
  • Understanding the CIB’s business and product offers
  • Ability to engage and advise at the senior business level and swiftly develop credibility.
  • General knowledge of banking regulations is necessary.

Education

  • Bachelor of Honours Degree: Law, Military Science, and Security (Required)
