POSITION: Company Secretary 

Company Profile

The Development Bank Ghana (DBG) is a development finance entity set up by the Ghanaian Government, with backing from international partners like the World Bank, European Investment Bank, German Development Bank, and African Development Bank.

DBG’s main goal is to aid the economic transformation in Ghana by enhancing access to financing for Ghanaian businesses, especially small and medium enterprises (SMEs). DBG mainly offers long-term wholesale credit lines and partial credit guarantees to qualifying financial institutions, along with technical support for participating financial entities and their respective borrowers. The Bank additionally offers services for business growth and associated development banking functions.

DBG is utilizing technology and online platforms to offer resources and develop capacity for SMEs. DBG is looking for experienced professionals with pertinent industry and development banking expertise to oversee DBG’s corporate secretarial, compliance, and corporate communications functions. Role Overview: 

  • The Company Secretary is tasked with managing the Bank’s legal and corporate governance responsibilities.
  • This position guarantees adherence to all regulatory and legal obligations, offers legal counsel to the Board, and
  • Management protects the Bank’s interests in legal issues.
  • In the capacity of Company Secretary, the position includes aiding the Board in meeting its legal responsibilities and advancing optimal corporate governance standards.

Main Duties:

Corporate Governance and Adherence to Regulations: 

  • Help the Board adhere to the Company’s constitution and all applicable laws.
  • Offer the Board advice regarding their roles, obligations, and authorities.
  • Counsel directors regarding their responsibilities and the necessities of corporate governance.
  • Notify the Board about regulations pertaining to shareholder and director meetings, including potential compliance risks.
  • Make certain that all required forms and returns are properly submitted to the Registrar of Companies.

Support from the Board and Shareholders: 

  • Make certain that the Board of Directors gets comprehensive, sufficient, and prompt information for meetings.
  • Draft and distribute notifications under the Company’s name.
  • Support the Board of Directors in carrying out performance assessments.
  • Execute tasks as delegated by the Board.

Legal records and submissions: 

  • Maintain the Company’s books and records.
  • Make sure that you document and retain minutes of meetings for shareholders and directors accurately.
  • Keep all legal registers of the Company updated.
  • Make sure the yearly financial reports are sent to those who are entitled to receive them.

Required Qualifications & Experience

Education, Required Professional Credentials, and Experience: 

  • LLB (Bachelor of Laws) degree from an accredited institution.
  • Barrister-at-Law (BL) / Call to the Bar – Must be registered to practice and maintain good standing as a barrister or solicitor in the Republic of Ghana.
  • At least 10 years of legal experience, including a minimum of 5 years in a senior legal or company secretarial position, ideally within the banking or financial industry.
  • A professional or higher education qualification is required to fulfill the duties of a Company Secretary.
  • A master’s degree in law (LLM), Business Administration (MBA), Finance, or a similar discipline is desirable.
  • Pertinent Professional Certifications such as: Chartered Governance Institute (CGI) certification (previously ICSA), Corporate Governance or Compliance certification, Membership in a recognized legal or corporate governance organization serves as an additional benefit.
  • Solid understanding of governance and compliance regulations, banking laws, and corporate legislation.
  • Understanding and implementation of all pertinent regulations impacting the banking industry.
  • Background in negotiating contracts, managing litigation, and reducing risks.
  • Demonstrated knowledge in regulatory compliance and interaction with financial sector authorities.
  • Practical experience in company secretarial tasks, such as drafting agendas, meeting notes, and regulatory paperwork.
  • Extensive experience in policy formulation, legal consulting, and internal control systems.
  • Capacity to devise and execute legal strategies that are in line with the Bank’s business goals.

  • Capability to affect high-level stakeholders
  • Precise and straightforward legal writing and counsel
  • Excellent ability to handle multiple tasks and meet deadlines
  • Proficient negotiator and dispute mediator
  • Robust governance and compliance knowledge, guaranteeing conformity with applicable regulations.
  • Expertise in Microsoft Office and additional IT tools for legal documentation and reporting
